The main lawful path is a dividend: China GAAP audit → make up losses → allocate the 10% statutory reserve until it reaches 50% of registered capital → board or shareholder resolution → withhold non-resident dividend tax (domestic default 10%) → bank remittance on that pack. A Hong Kong or Singapore holdco does not automatically get 5%. You need the DTA text (usually 25% direct holding) and beneficial-owner status under SAT Announcement 2018 No. 9. Tax payment or recordal is necessary, not sufficient. Management fees and royalties are not substitute labels for a dividend.
At a glance
| Question | Short answer |
|---|---|
| Default dividend WHT? | 10% for a non-resident enterprise shareholder (EIT implementing rules). |
| When is 5% realistic? | If the DTA says so, the parent holds the required direct stake (often 25%), and it is the beneficial owner. |
| Must we fund the reserve? | Yes — 10% of after-tax profit until 50% of registered capital, after prior losses. |
| Is an audit required? | Banks and tax windows expect a China statutory audit for the year you distribute. |
| Does a tax receipt force the bank to pay? | No. Capital maintenance and FX documents are separate tests. |
| Is there a separate SAFE approval? | Ordinary dividends are usually reviewed at the bank, not as a second ministry stamp. Banks still say no. |
| Can we pay HQ fees instead? | Only if they are real, priced and documented. Relabelling a dividend is a TP/VAT problem. |
| Does retaining profit avoid tax? | No. CIT is still due. Exit later is a different bill. |
Scope and legal framework
This page is the WFOE → foreign parent dividend guide. Liquidation, share sale, personal FX quotas and a full transfer-pricing manual live elsewhere.
PRC Company Law (profit distribution / statutory reserve). A company distributes after-tax profit only after making up prior losses and allocating 10% of after-tax profit to the statutory surplus reserve until that reserve reaches 50% of registered capital. A resolution that skips this step is not a bankable dividend.
Enterprise Income Tax Law and Implementing Regulations (non-resident dividends). China-source dividends paid to a non-resident enterprise are generally subject to 10% withholding unless a treaty or domestic relief applies and the file supports it.
SAT Announcement 2018 No. 9 (beneficial owner). Treaty benefits on dividends, interest and royalties require beneficial-owner status. Listed safe harbours and look-through tests exist; empty holding companies are the classic adverse fact pattern.
Bank / SAFE current-account practice. Dividend remittances are typically processed by the account bank under SAFE documentary rules. Do not tell the board there is a single “SAFE approval certificate” for every ordinary dividend — and do not tell them the bank is a rubber stamp.
Practical workflow
- Finish the statutory audit and CIT filing for the year you will distribute.
- Schedule prior losses and the statutory reserve; compute the maximum lawful dividend.
- Pass a board or shareholder resolution that matches the articles and the SHA.
- If claiming a treaty rate, collect the parent’s tax-residency certificate and a beneficial-owner memo before you withhold at 5%.
- Withhold or record the tax; keep the payment / recordal evidence.
- Give the bank the full pack. Answer follow-up questions; do not “explain” a conduit.
- Only then instruct the wire to the parent named on the resolution.
Common mistakes
- Promising the board 5% because “we have a Hong Kong holdco.”
- Distributing before the reserve and loss makeup.
- Using last year’s unaudited management accounts as the bank pack.
- Booking management fees with no people, no contract and no VAT chain.
- Assuming a paid WHT receipt forces the remitting officer to click send.
Action checklist
- Lock the fiscal year and the China GAAP audit.
- Compute losses + 10% reserve + remaining distributable profit.
- Read the DTA article that actually applies to this parent.
- If you want 5%, build the beneficial-owner file first.
- Pass a resolution that quotes the same RMB figure the bank will see.
- Withhold or record tax; keep receipts.
- Assemble licence, audit, reserve schedule, tax proof, FX registration.
- Do not relabel the leftover as a service fee to “save WHT.”
- Keep contemporaneous TP files for any related-party charges in the same year.

Common questions
Quick answers for foreign nationals and employers. Rules vary by city and change over time.
What is the China withholding tax rate on WFOE dividends in 2026?
Start at 10% for a non-resident enterprise. Model a lower treaty rate only with the DTA text, the ownership test and a beneficial-owner story.
Can a Hong Kong or Singapore holdco always get 5%?
No. Holding threshold plus SAT Announcement 9. Conduit companies are the usual failure.
Does paying WHT guarantee the bank will remit?
No. The bank still tests corporate authority, audited profit and FX documents.
Do we need a separate SAFE approval?
Ordinary dividends are usually processed by the bank under SAFE rules. There is typically no second “ministry stamp,” but the bank review is real.
Can we remit management fees instead of dividends to avoid WHT?
Only if the fees are genuine. Otherwise you trade dividend WHT for VAT, TP and characterisation risk. See transfer pricing.
Is profit that never leaves China safer?
Retention can be rational. It is not a CIT holiday and it does not erase a later exit tax.
