China M&A & Equity Transfer Basics for FIEs

Most mid-market China deals for foreign investors are equity transfers of a WFOE or joint venture—not public takeovers. Process and filings differ from Western market practice.

Definition

An equity transfer is a sale of registered capital interests in a Chinese company. Assets can also be bought (asset deal), but equity deals are common for operating FIEs. Closing typically requires updated articles, SAMR (market regulation) registration of the new shareholder, bank/SAFE updates, and often tax filings on the transfer.

At a glance

  • SPA + disclosure schedules + conditions precedent drive risk allocation
  • SAMR registration of the shareholder change is usually a hard closing step
  • Merger-control (antitrust) filing may apply above turnover thresholds
  • National security review can apply in sensitive sectors even for minority stakes
  • Tax on capital gains, stamp duty, and historical compliance gaps often surface in diligence

How it works in practice

Foreign buyers should diligence chops, legal representative, unpaid capital (including the five-year contribution rule), labour, tax, data, and licences—not only financials. Sellers should clean annual reports and related-party contracts early. Structure (onshore vs offshore holding sale) changes tax and approval paths.

FAQ

Do all deals need SAMR merger control?

No. Filing depends on turnover thresholds and deal structure. When thresholds are met, closing without clearance is high risk.

Is negative-list clearance the same as NSR?

No. Market-access (negative list) and national security review are separate screens from antitrust.
