Not legal or tax advice. HK FSIE, Singapore incentives and listing practice change. This page is the mid-layer fork — not a 13O application and not a SAFE waiver.

SG 13O / 13U · VIE / red-chip · Holding structures · CRS / FATCA · Inbound entity.

Direct answer

Hong Kong is the familiar red-chip / listing plumbing; if you want offshore-style treatment you now live in the FSIE substance world (people, premises, decisions). Singapore is a different treaty and incentive story — the 13O/13U sister is the incentive file, not this comparison. Both need a real board and staff you will actually pay. “Hong Kong is China” is false for SAFE and IIT. Two empty companies is two CRS forms, not diversification. Pick for investors, banks and the people you will hire — not last year’s headline rate.

QuestionShort answer
Skips 37/ODI?No.
HK = mainland China? No for SAFE and tax.
FSIE?HK exemption needs substance.
13O on this page?Sister URL.
Brass plate?Fails both.

Scope and legal framework

Hong Kong FSIE / profits tax themes. Passive foreign-source income exemptions now hang on economic substance in HK. A mailbox does not get you 2018 treatment.

Singapore corporate tax + incentives. Headline CIT plus optional incentive regimes. 13O/13U have their own tests — do not paste them into this comparison as if every Co. qualifies.

China FX still applies. Resident founders: 37. PRC companies funding the holdco: ODI. The mid-layer does not eat those files.

Practical workflow

  1. Write why a mid-layer exists (investors, listing, IP, customers).
  2. Name directors who will meet there more than once.
  3. Open 37/ODI on the China side before the first capital call.

Common mistakes

  • Telling the bank “HK is domestic.”
  • Booking 13O in the model before EDB has heard of you.
  • Nominee directors with no minutes.

Action checklist

  1. One-sentence purpose of the layer.
  2. Headcount / office you will actually fund.
  3. 37 and ODI owners named.

Practice Note from Peter Ye: Boards often treat ODI as a single “approval stamp.” In practice, NDRC project, MOFCOM enterprise, and SAFE/bank tracks must tell one consistent story—amount, path, and ultimate controller—or remittance stalls after certificates issue.

FAQ

Common questions

Quick answers for foreign nationals and employers. Rules vary by city and change over time.

Do we need both HK and SG?

Only if each has a job (e.g. listco vs operating regional HQ). Two brass plates is a CRS and substance problem.

Is HK better for a VIE listing?

It is the more common plumbing. That is not legal blessing and not a skip of VIE risk or 37.
