What triggers healthcare anti-corruption scrutiny
- High-value KOL engagement, speaker fees, advisory boards, and “academic” sponsorships that look like purchase influence.
- CSO / contract sales / marketing fee structures with weak substance, circular invoicing, or unexplained hospital-side benefits.
- Tender and VBP-related hospitality, consulting, or post-bid channel inducements (pair with VBP disputes).
- Complaint-driven probes after employee exits, distributor terminations, or competitor reports.
First 120 minutes on site
1. Control the room without obstructing lawful inspection
Identify the agency, produce credentials, and open a single company liaison channel (legal + compliance + one operations lead). Do not destroy, hide, or “clean” devices. Parallel: external counsel notice and privilege-aware document strategy under PRC rules (privilege is narrower than common-law assumptions).
2. Scope the ask
Record what is requested: servers, WeChat/enterprise chat, finance, hospital visit logs, CSO contracts, speaker-fee ledgers, tender files. Push for written lists. Segregate personal devices and overseas systems carefully—over-collection fights happen later, but obstruction allegations happen now.
3. Employee interviews
Staff should tell the truth, not speculate. Sales and medical affairs need a one-page “what to say / what not to invent” card prepared before any raid. Shadow counsel presence depends on agency practice and case posture.
CSO, marketing fees & invoice risk
Enforcement narratives often attack substance over form: is the CSO providing real promotion services, or laundering discount/rebate economics? Map every large marketing payee to contracts, deliverables, fapiao chain, and hospital-facing activity logs. Weak files become “虚增成本 / 违规开票” stories even when commercial intent was “channel support.”
KOL, conferences & speaker fees
Legitimate scientific exchange is not a free pass. Document fair-market value, agenda scientific content, selection criteria independent of purchase volume, and adverse-event or off-label discussion controls. Tie promotion rules to pharma advertising and device advertising.
Criminal vs administrative tracks
Commercial bribery can sit under unfair-competition administrative enforcement and, in serious cases, criminal bribery frameworks. Executives and responsible persons face personal risk. Early case assessment should separate: (a) company administrative exposure, (b) individual criminal risk, (c) employment/discipline for internal actors, (d) third-party CSO/distributor cooperation or cut-off.
90-day preparedness programme
- Raid binder: org chart, system map, data-room locations, key contract indexes, counsel hotline.
- CSO portfolio remediation: terminate empty shells; rebuild SOW and evidence of work product.
- Hospitality & HCP engagement policy with real pre-clearance—not PDF shelfware.
- Whistleblower intake that reaches compliance before it reaches a regulator.
- Tabletop exercise twice a year with sales leadership present.
